These Terms of Use ("Terms") govern your use of the vAudioLink OBS plugins, hosted relay service, and web panel (the "Service"), provided by Whatever Media("vAudioLink", "we", "us"). By installing the plugin, creating an account, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 16 years old (or the age of digital consent in your country) and able to form a binding contract. If you use the Service on behalf of an organisation, you confirm you are authorised to bind it.
2. The Service
vAudioLink lets creators collaborate inside OBS Studio. It includes three products — ASMR Collab (audio), Music Collab / vKaraoke (vocals with a synchronised backing track), and Scene Share / vScene (one-way program video). The OBS plugins and the open-source guest client are free; an active Creator plan unlocks the hosted relay, guest invites, and account features. You may also self-host your own relay, in which case your media does not pass through our servers.
The relay forwards your media; it does not transcode, inspect the content of, or record it.
3. Accounts
- Host accounts require sign-in (via Clerk) and, for hosted relay use, an active subscription.
- Guests can join a session with a key or a Discord handoff without a paid subscription; guest keys expire (e.g. after 24 hours).
- You are responsible for activity under your account and for keeping your credentials secure.
4. Subscriptions, billing & refunds
- The Creator plan is €10/month + applicable VAT, billed through Paddle, our merchant of record, which handles payment and tax. Pricing and inclusions are shown at sign-up and may change with notice.
- Billing is time-based (streaming hours). The panel shows the time included with your plan. Start limits and one-time extra hours described as coming soon do not apply until they launch and are added to these Terms.
- Subscriptions renew until cancelled. You may cancel at any time, effective at the end of the current billing period. Statutory withdrawal/refund rights apply per your jurisdiction and Paddle's terms.
5. Acceptable use & your content
You are solely responsible for the content you capture, transmit, stream, or record using the Service, and for having all necessary rights and permissions to do so. You agree not to use the Service to:
- infringe intellectual-property, privacy, or publicity rights;
- transmit unlawful, harassing, hateful, or abusive content, or content involving minors;
- attempt to break, overload, reverse-engineer (except as law allows), or gain unauthorised access to the Service or relays;
- resell or sublicense the hosted relay without permission.
Backing tracks and third-party content (Music Collab): if you provide a URL (e.g. a YouTube link) for a backing track, you are responsible for ensuring you have the rights to use that content.Retrieving audio from third-party services may breach those services' terms; you assume that risk. We are not responsible for muted streams, takedowns, Content ID claims, or any consequences arising from content you choose to use, and you will not hold us liable for them.
We may suspend or remove access for violations of this section.
6. Intellectual property
- The vAudioLink software, brand, and Service are owned by us and licensed, not sold. The OBS plugins are licensed for your use with the Service; the guest client is provided under its stated open-source licence.
- You retain ownership of your content. You grant us only the limited, technical licence needed to transmit/relay your media to your chosen recipients while you use the Service.
7. Third-party services
The Service interoperates with OBS Studio, Discord, Clerk, Paddle, and (optionally) content sources such as YouTube. Your use of those services is governed by their own terms; we are not responsible for them.
8. Beta & evolving features
Parts of the Service (including features marked "beta") are provided as an evolving product and may change, break, or be withdrawn. We may modify or discontinue features at any time.
9. Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation, specific latency or quality, or that the Service will meet your requirements.
10. Limitation of liability
To the maximum extent permitted by law, vAudioLink will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 3 months before the event giving rise to the claim. Nothing limits liability that cannot be limited by law (e.g. for death, personal injury, or intent/gross negligence).
11. Indemnification
You agree to indemnify and hold us harmless from claims, damages, and costs arising from your content, your use of the Service, or your breach of these Terms or of any third party's rights (including content-licensing claims).
12. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate access for breach of these Terms, non-payment, or to protect the Service or others. On termination, your right to use the Service ends; sections that by nature survive (e.g. IP, disclaimers, liability, indemnity) continue.
13. Governing law & disputes
These Terms are governed by the laws of the Netherlands, without regard to conflict-of-laws rules, and disputes are subject to the competent courts of the Netherlands, except where mandatory consumer-protection law gives you other rights.
14. Changes
We may update these Terms; the new version will be posted here with an updated date. Continued use after changes means you accept them. Material changes will be communicated where appropriate.
